1. Who we are

Cuecaps is provided by Jens Louw-Christensen, Myrdalstræde 1E, 9220 Aalborg Øst, Denmark (“we”), a private individual; no business is registered in the Danish Central Business Register (CVR). Contact: pantheon3d.contact@gmail.com. By creating an account or using Cuecaps you agree to these terms.

2. What Cuecaps does

Cuecaps is a web app for adding captions to video and audio. Editing, previewing and exporting run in your browser; your media files are not uploaded to us. If you choose cloud transcription, the audio track is uploaded and sent to our transcription provider, then deleted. Automatic transcription can contain mistakes; check your captions before publishing.

3. Your account

You need an account to use the web app. Keep your email account secure, since sign-in links are sent there. You must be at least 13 years old. You are responsible for activity on your account.

4. Plans, payment and cancellation

Paid plans are monthly or yearly subscriptions that renew automatically until cancelled. Purchases are processed by Stripe, which acts as the seller of record (“Managed Payments”) and handles payment, VAT and sales tax, receipts and payment-related support. Stripe’s terms apply to the payment itself.

Cloud minutes are included per billing period (per calendar month on the free plan) and do not roll over. You can cancel at any time from your account page; you keep your plan until the end of the period you paid for. We will give at least 30 days’ notice by email before changing the price of an existing subscription, and you can cancel before the change takes effect.

5. Right of withdrawal (EU and UK consumers)

If you are a consumer in the EU or UK, you may withdraw from a new subscription within 14 days of purchase. Because the service starts immediately at your request, a refund may be reduced in proportion to the service already provided, including cloud minutes used. 6. Your content

You keep all rights to the media, text and fonts you use with Cuecaps. You give us only the permission needed to run the service for you, such as sending audio to the transcription provider and storing synced project data. You confirm you have the rights to the content you process, including any fonts you upload: fonts must be licensed for your use, including embedding in video. The 24 built-in fonts are licensed under the SIL Open Font License and may be used in videos you publish, including commercially.

7. Acceptable use

Don’t use Cuecaps for unlawful content, to infringe others’ rights, to overload or probe our systems, to get around plan limits, or to resell cloud transcription. We may suspend accounts that do.

8. Changes and availability

We improve Cuecaps continuously and may change or remove features. We aim for high availability but don’t guarantee uninterrupted service. For material changes to these terms we will email you at least 30 days in advance.

9. Liability

Cuecaps is provided as is. To the extent the law allows, our total liability is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect losses such as lost revenue or views. Nothing in these terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

10. Ending the agreement

You can delete your account at any time on the account page. We may end the agreement with 30 days’ notice, or immediately for serious breach. On deletion we delete your account data as described in the Privacy Policy.

11. Law and disputes

Danish law applies, without affecting mandatory consumer protection in the country where you live. Consumers in Denmark can complain to Nævnenes Hus (naevneneshus.dk). [LAWYER: confirm.]
